# Nexamas UI Commercial SDK License

Nexamas UI, including `Nexamas.UI.dll`, XML documentation, debug symbols, public guides, source code, samples, quality scripts, package metadata, and related assets, is proprietary software and documentation owned by Husam Al Masry / Nexamas UI, except for third-party components listed in `THIRD_PARTY_NOTICES.md`.

This license is a product license template for Nexamas UI commercial delivery. It documents the default repository/package terms and does not replace a signed customer order form, invoice, or written agreement.

## 1. Commercial license grant

Subject to payment of applicable fees and compliance with this license and any signed order form, Nexamas UI grants the licensee a non-exclusive, non-transferable, non-sublicensable license to use Nexamas UI to develop, build, and distribute applications that reference Nexamas UI as a compiled dependency.

## 2. Seven-day evaluation license

Before purchasing a commercial license, an evaluator may use Nexamas UI for a limited evaluation period of seven consecutive calendar days.

The evaluation period starts on the earliest date the evaluator downloads, receives, installs, restores, accesses, or otherwise uses any Nexamas UI package, source distribution, private feed, documentation pack, or related SDK asset.

During the evaluation period, the evaluator may use Nexamas UI only for internal technical evaluation, compatibility testing, learning, and non-production prototype work.

The evaluation license does not allow:

- production use;
- distribution of applications that include or depend on Nexamas UI;
- use in paid client work or commercial customer delivery;
- publishing Nexamas UI packages, source code, private feed credentials, or documentation packs;
- use after the seven-day evaluation period expires unless a commercial license has been purchased;
- repeated or overlapping evaluation periods intended to avoid purchasing a commercial license.

When the evaluation period ends, the evaluator must either purchase a commercial license or stop using Nexamas UI and delete unlicensed copies, except for records that must be retained for legal, accounting, or compliance reasons.

A written order form or signed agreement may extend, shorten, replace, or waive the evaluation period.

## 3. Permitted commercial use

A valid commercial licensee may:

- install and use Nexamas UI internally for application development;
- reference `Nexamas.UI.dll` from licensed applications;
- distribute Nexamas UI runtime binaries only as part of the licensee's compiled application, when necessary for that application to run;
- use the provided public guides and samples for development purposes;
- run the documented quality, package, and consumer-proof scripts for licensed internal verification.

## 4. Restrictions

The evaluator or licensee may not:

- sell, rent, lease, sublicense, publish, or redistribute Nexamas UI as a standalone SDK, library, NuGet package, framework, source package, or competing product;
- distribute Nexamas UI source code unless the purchased license explicitly allows source access and redistribution;
- remove copyright, license, or proprietary notices;
- reverse engineer, decompile, or disassemble Nexamas UI except where applicable law expressly prohibits such restriction;
- use Nexamas UI to build a competing UI framework, SDK, toolkit, component library, or designer platform without written permission;
- share private package feeds, license keys, source access, binary SDK packages, or evaluation packages with unlicensed third parties;
- use evaluation access to provide production, paid, or customer-facing software or services.

## 5. Ownership

Nexamas UI remains the property of Husam Al Masry / Nexamas UI. This license grants limited usage rights only. No ownership rights are transferred.

## 6. Third-party components

Nexamas UI uses third-party components. Their licenses are separate from this license. The evaluator or licensee must comply with applicable third-party notices listed in `THIRD_PARTY_NOTICES.md` and any notices included with distributed packages.

## 7. Updates and support

Updates, support, maintenance, and access to future versions are provided only if included in the purchased license or a separate written agreement.

Evaluation access does not include guaranteed support, maintenance, fixes, private feed access, source access, or future updates unless a written agreement states otherwise.

## 8. Warranty disclaimer

Nexamas UI is provided "as is" unless a separate written agreement states otherwise. Husam Al Masry / Nexamas UI disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

## 9. Limitation of liability

To the maximum extent permitted by law, Husam Al Masry / Nexamas UI shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, data, or business opportunities arising from use of Nexamas UI.

## 10. Termination

This license terminates automatically if the evaluator or licensee materially breaches its terms. Upon termination, the evaluator or licensee must stop using Nexamas UI and delete unlicensed copies, except for copies embedded in applications already lawfully distributed before termination, if permitted by the purchased license.

## 11. Governing law

This license is governed by the laws of Germany, excluding conflict-of-law rules.

## 12. Commercial order form

Customer-specific commercial terms, including license type, term, support level, seats, permitted products, source access, private package feed access, evaluation extension, and effective date, must be defined in a separate written order form or agreement signed by the parties.
